1. Acceptance of Terms

By creating an account, accessing, or using the PartnerUp platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Services

PartnerUp provides a platform for partnership marketing management, including:

• ACC Insights — Automated reporting and analytics for Amazon Creator Connections campaigns, including data sync, dashboards, creator performance tracking, and scheduled reports.
• Engage — Outreach management, product seeding workflows, partner communication tracking, and AI-assisted messaging tools.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3. Accounts & Registration

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Provide truthful and accurate registration information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Not share your account with unauthorized third parties

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to violate any applicable law, regulation, or third-party right
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or any other harmful code
• Use the Service to send unsolicited communications (spam)
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service beyond what is provided through our APIs
• Resell, sublicense, or redistribute the Service without our written consent

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process, store, and display Your Data solely for the purpose of providing and improving the Service.

We implement commercially reasonable security measures to protect Your Data, including encryption in transit and at rest, access controls, and row-level database security. However, no method of electronic storage or transmission is 100% secure.

When you connect third-party platforms (such as Amazon Seller Central, affiliate networks, or email providers), you authorize us to access and process data from those platforms in accordance with our Privacy Policy and the permissions you grant.

6. Payment & Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase.

• Fees are billed in advance on a monthly or annual basis, depending on your selected plan
• All fees are non-refundable except as required by law or as expressly stated in these Terms
• We may change pricing with 30 days' notice; continued use after a price change constitutes acceptance
• If payment fails, we may suspend access to the Service until the outstanding balance is resolved
• You are responsible for all applicable taxes associated with your use of the Service

7. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content provided by PartnerUp, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent. The PartnerUp name, logo, and all related product names are trademarks of PartnerUp.

Any feedback, suggestions, or ideas you submit to us regarding the Service may be used by us without obligation or compensation to you.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service ("Confidential Information"). Confidential Information includes, but is not limited to, business data, technical information, product plans, and customer data.

Neither party shall disclose the other party's Confidential Information to any third party except as required by law, with prior written consent, or to employees and contractors who need to know and are bound by confidentiality obligations at least as protective as those in these Terms.

Confidentiality obligations survive termination of these Terms for a period of two (2) years.

9. Disclaimers

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any data, information, or content provided through the Service, including data synced from third-party platforms such as Amazon Seller Central or affiliate networks.

You acknowledge that your use of the Service is at your sole risk. Any data, reports, or analytics provided through the Service are for informational purposes only and should not be relied upon as the sole basis for business decisions.

10. Limitation of Liability

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

11. Termination

You may terminate your account at any time by contacting us at hello@gopartnerup.io or through the account settings in the Service.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, non-payment, fraudulent activity, or extended inactivity.

Upon termination:

• Your right to access and use the Service will immediately cease
• We will delete or anonymize your personal data within 90 days, unless retention is required by law
• Any outstanding fees remain due and payable
• Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Governing Law) shall survive

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date at the top of this page. We may also notify you via email for significant changes.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
