These Terms of Service ("Terms") govern your access to and use of the PartnerUp platform, including ACC Insights and Engage, operated by PartnerUp ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account, accessing, or using the PartnerUp platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent. The PartnerUp name, logo, and all related product names are trademarks of PartnerUp.

Any feedback, suggestions, or ideas you submit to us regarding the Service may be used by us without obligation or compensation to you.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service ("Confidential Information"). Confidential Information includes, but is not limited to, business data, technical information, product plans, and customer data.

Neither party shall disclose the other party's Confidential Information to any third party except as required by law, with prior written consent, or to employees and contractors who need to know and are bound by confidentiality obligations at least as protective as those in these Terms.

Confidentiality obligations survive termination of these Terms for a period of two (2) years.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any data, information, or content provided through the Service, including data synced from third-party platforms such as Amazon Seller Central or affiliate networks.

You acknowledge that your use of the Service is at your sole risk. Any data, reports, or analytics provided through the Service are for informational purposes only and should not be relied upon as the sole basis for business decisions.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date at the top of this page. We may also notify you via email for significant changes.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
